Welcome to the website of Stacia Morris Design ("we," "our," or "us"). These Terms and Conditions (the "Terms") govern your use of our website located at www.staciamorrisdesign.ca (the "Site"). 

By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the Terms, you may not access or use the Site. 

1. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, design concepts, floor plans, sketches, drawings, and data, is the property of Stacia Morris Design or its content suppliers and is protected by Canadian and international copyright, trademark and intellectual property laws. 

• You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the content on our Site without the prior written consent of Stacia Morris Design.

• You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use only. 

2. User Responsibilities and Prohibited Actions

You agree to use the Site only for lawful purposes and in accordance with these Terms. You are prohibited from: 

• Using the Site in any way that violates any applicable federal, provincial, local, or international law or regulation.

• Infringing on the rights of others, including intellectual property rights.

• Transmitting any advertising or promotional material, including "junk mail," "chain letters," "spam," or any other similar solicitation.

• Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm Stacia Morris Design or users of the Site.

The information provided on this Site is for general informational and inspirational purposes only. It is not intended to be a substitute for professional interior design, architectural, engineering, or contracting advice. 

• Stacia Morris Design is an interior decorating and design firm and does not provide guarantees regarding product availability and pricing mentioned on the site. 

• You should consult with qualified professionals regarding your specific project needs. We disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the Site who is not a client of Stacia Morris Design, or by anyone who may be informed of any of its contents. 

• Some photography on the site may be digitally enhanced to illustrate design intent.

Our Site may contain links to third-party websites or services (e.g., product vendors, suppliers, social media). These links are provided for your convenience only. 

• We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

• If you access any third-party websites linked to this Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

5. Limitation of Liability

In no event will Stacia Morris Design, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, or any content on the Site. This includes any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, and loss of data. 

6. Indemnification 

You agree to indemnify, defend and hold harmless Stacia Morris Design, its principals, officers, directors, representatives, employees, contractors, licensors, licensees, suppliers and agents, from and against any claims, losses, damages, losses, obligations, costs, actions or demands.

These include but are not limited to: (a) legal and accounting fees resulting from your use of the Site; (b) your breach of any of these Terms & Conditions; and (c) anything you post on or upload to the Site.

7. Disclaimer and Non-Waiver of Rights

We make no guarantees, representations or warranties of any kind as regards the Site and associated technology. Any purportedly applicable warranties, terms and conditions are excluded, to the fullest extent permitted by law. Your use of the Site is at your sole risk. The Site is provided on an “AS IS” and “AS AVAILABLE” basis. The Site is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance, except as provided for under the laws of any province in Canada. In such cases, the provincial law shall apply to the extent necessary.

Stacia Morris Design its affiliates and its licensors do not warrant that a) the Site will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Site is free of viruses or other harmful components; or d) the results of using the Site will meet your requirements.

8. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. 

Any legal action or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the courts of the Province of Ontario, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue in such courts. 

9. Changes to the Terms

We reserve the right to revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
